offered to the public or admitted to trading on a regulated market, and repealing Directive 2003/71/EC, which is part of

") and has been delivered to the FCA in accordance with Rule

3.2 of the Prospectus Regulation Rules. This document has been made available to the public as required by the
Prospectus Regulation Rules.

Application has been made for the Ordinary Shares (issued and to be issued) to be admitted to the Specialist
Fund Segment, which is intended for institutional, professional, professionally advised and knowledgeable
investors who understand, or who have been advised of, the potential risk from investing in companies
admitted to the Specialist Fund Segment. The Specialist Fund Segment is only suitable for investors: (i) who
understand the potential risk of capital loss and that there may be limited liquidity in the underlying
investments of the Company; (ii) for whom an investment in securities admitted to trading on the Specialist
Fund Segment is part of a diversified investment programme; and (iii) who fully understand and are willing to
assume the risks involved in such an investment portfolio. It should be remembered that the price of the
Ordinary Shares can go down as well as up.

Application has been made to the London Stock Exchange for all of the Ordinary Shares (issued and to be issued) in
connection with the Initial Placing to be admitted to trading on the Specialist Fund Segment. Applications will be made
for all of the Ordinary Shares issued pursuant to each Subsequent Placing under the Placing Programme to be admitted
to trading on the Specialist Fund Segment. It is expected that Initial Admission will become effective and that
unconditional dealings will commence in the Ordinary Shares at 8.00 a.m. on 25 February 2025. It is expected that
Admission pursuant to Subsequent Placings under the Placing Programme will become effective and dealings will
commence between 26 February 2025 and 19 February 2026. No application has been made or is currently intended
to be made for the Ordinary Shares to be admitted to listing or trading on any other stock exchange.
